Chapter I. General Provisions
§ 1

The See Beyond Foundation, hereinafter referred to as the “Foundation,” operates in accordance with the Polish Act of April 6, 1984 on Foundations (consolidated text: Journal of Laws of 1991 No. 46, item 203, as amended) and the provisions of this Statute.

The Foundation was established by Sebastian Malinowski, hereinafter referred to as the “Founder,” by notarial deed executed on July 5, 2023, by Notary Aleksandra Brzeźna – Notarial Office, ul. Jedności Narodowej 41/3A, 50-260 Wrocław. Repertory A Number: 798/2023.

The competent Minister of Culture and National Heritage shall exercise supervision over the Foundation.

The Foundation is non-political and not affiliated with any religious denomination.
§ 2
-
The Foundation has legal personality.
-
The registered office of the Foundation is located in Wrocław, Wrocław Municipality, Lower Silesian Voivodeship. The duration of the Foundation is indefinite.

The Foundation operates within the territory of the Republic of Poland. To the extent necessary for proper achievement of its objectives, it may also conduct activities outside the borders of the Republic of Poland.
§ 3

The Foundation may use the abbreviated name “See Beyond.”
-
The Foundation may use a seal containing its identifying information.
-
The Foundation uses a distinctive graphic symbol containing the phrase "See Beyond."
-
In the case of international cooperation, the Foundation may use translations of its name into other languages.
§ 4
The Foundation has the right to establish diplomas, certificates, badges, honorary medals, distinctions, and awards, and to grant them to individuals and legal entities that support or cooperate with the Foundation in achieving its objectives.
Chapter II. Objectives and Principles of the Foundation’s Activities
§ 5 – Objectives of the Foundation
The objectives of the Foundation include:

Organizing and supporting programs and events that activate young people in Poland and abroad, especially through student exchanges, training, and volunteering.

Promoting equality, tolerance, and social inclusion, and counteracting discrimination by supporting inclusivity, gender equality, and equal opportunities.
-
Promoting intercultural integration and strengthening bonds between communities of different cultures, nations, and traditions.
-
Supporting communities with fewer opportunities, including people of low socio-economic status, people with disabilities, socially excluded individuals, and those from rural areas.
-
Supporting people with disabilities and equalizing their and their families’ access to culture, art, and all forms of creative expression.
-
Supporting people with disabilities in gaining access to public facilities (e.g., government offices, theaters, museums, religious or historical sites).
-
Eliminating digital barriers and improving internet access to ensure that people with disabilities can fully benefit from the digital world. The Foundation aims to guarantee equal access to information and online resources, enabling full and effective participation in the information society.

Supporting, developing, and promoting initiatives that enable people with disabilities to participate fully in economic and investment activities, ensuring equal opportunities in modern life, including business.

Promoting and supporting technological and innovative initiatives that improve the quality of life for people with disabilities, including assistive technologies such as mobile apps, assistive devices, or educational software that support daily functioning, education, and communication.

Supporting access to the labor market for people with disabilities by promoting their skills and qualifications and working with employers to create accessible and supportive work environments.
-
Promoting reading in Poland and abroad through campaigns, workshops, competitions, and supporting institutions and projects that encourage reading.
-
Improving the qualifications and employability of young people by investing in the quality of education, training, and youth programs.
-
Developing professional competencies of teachers, trainers, educators, and youth in the context of education, training, and youth work.
-
Supporting interaction and cooperation between formal, non-formal, and informal learning, as well as across education, training, and youth work sectors.
-
Supporting extracurricular education, upbringing, tourism, and physical culture.
-
Cooperating with non-EU countries in the fields of education, training, youth, and sports.
-
Engaging in international cooperation to develop innovative solutions and exchange best practices in education and training.
-
Modernizing and improving the quality of education, training, and youth systems.
-
Strengthening the competitiveness and appeal of European educational institutions and promoting international cooperation in education and training.
-
Promoting a healthy lifestyle, physical activity, and youth participation in sports while raising awareness of the importance of movement.
-
Using education, training, and sport as tools for promoting European values, European citizenship, and democracy.
-
Promoting integration among communities of diverse cultures and backgrounds.
-
Supporting European integration and regional promotion.
-
Disseminating the socio-economic standards of the European Union.
-
Promoting and supporting culture both nationally and internationally.
-
Developing and disseminating modern media and communication technologies.
-
Organizing cultural, informational, educational, scientific, and sports events that promote cooperation at the local and international levels.

Supporting human rights, civil rights, and democracy.
-
Facilitating the realization of youth initiatives.
-
Stimulating local community activity and cooperation.
-
Promoting and organizing volunteering.
-
Supporting intergenerational integration.
-
Organizing leisure activities for children, youth, and the elderly.
-
Activating older adults.
-
Promoting ecology and environmental protection.
-
Protecting and enriching the natural environment.
-
Supporting sustainable development.
-
Nature conservation and responding to environmental threats.
-
Providing ecological education for children, youth, and the elderly.
§ 6 – Methods of Achieving the Foundation’s Objectives
The Foundation pursues its objectives through the following activities:

Implementing projects that promote equality, tolerance, and social inclusion — such as workshops, campaigns, and initiatives counteracting discrimination.

Organizing and supporting programs like Erasmus+ in Poland and abroad, including youth and student exchanges, training, and volunteering.
-
Working to increase access to the labor market for people with disabilities by organizing job search and skills development workshops, collaborating with employers to promote the hiring of people with disabilities, and offering career counseling and job-seeking support.

Organizing and funding workshops, exhibitions, and meetings with artists to support equal access for people with disabilities and their families to culture and all forms of creative expression. The Foundation implements projects that provide access to literature, films, music, and other forms of art in accessible formats, such as audiobooks, captioned videos, sign language interpreted theater performances, and other assistive tools.

Improving accessibility of public utility facilities for people with disabilities by conducting advocacy campaigns, organizing consulting and training for property owners, and cooperating with local governments to adapt public infrastructure.

Improving the quality of life for people with disabilities through technology by collaborating with research institutions, startups, and tech companies. This includes funding research and development of assistive technologies, organizing hackathons and innovation contests, and promoting the use of existing tools and solutions.

Expanding the Foundation’s impact through partnerships with other institutions and organizations working for people with disabilities. This includes signing cooperation agreements, participating in networks and consortia, and implementing joint projects.

Creating platforms for collaboration and initiatives that foster intercultural integration and connections between communities of various cultures, nations, and traditions.
-
Supporting communities with fewer opportunities by organizing support programs, training sessions, and workshops.
-
Promoting reading through campaigns, workshops, and reading competitions, and supporting institutions and projects that promote literacy.
-
Engaging in publishing activities aligned with the Foundation’s statutory objectives.
-
Investing in the quality of education, training, and youth programs to enhance young people’s qualifications and employability.
-
Organizing training and workshops for teachers, trainers, educators, and youth to develop their professional competencies.
-
Supporting cooperation between various forms of learning and across sectors of education, training, and youth work.
-
Carrying out activities in the areas of non-formal education, schooling, upbringing, tourism, and physical culture.
-
Building partnerships with both EU and non-EU countries in education, training, youth, and sport.
-
Promoting international cooperation for the development of innovative solutions and the exchange of best practices in education and training.
-
Modernizing and improving the quality of education, training, and youth systems.
-
Enhancing the competitiveness and appeal of European educational institutions and promoting international cooperation in education and training.
-
Promoting a healthy lifestyle, physical activity, and sport — especially among youth — while raising public awareness of the importance of movement.
-
Using education, training, and sport as tools for promoting European values, citizenship, and democracy.
-
Promoting integration of communities from diverse cultures and backgrounds, for example by organizing intercultural events, workshops, and meetings.
-
Supporting European integration and regional promotion, including through projects that strengthen regional and European cooperation.

Disseminating EU socio-economic standards via campaigns, workshops, and conferences.
-
Promoting and supporting culture nationally and internationally, including through art events, festivals, and exhibitions.
-
Developing and promoting modern media and communication technologies, such as organizing training sessions, workshops, and hackathons.
-
Organizing cultural, informational, educational, scientific, and sports events to promote local and international cooperation.
-
Supporting human and civil rights and democracy, for example through campaigns, training, and public debates.
-
Supporting youth initiatives by providing platforms for idea exchange, project funding, and organizing competitions.
-
Stimulating local community activity and cooperation through meetings, workshops, and collaborative initiatives.
-
Promoting and organizing volunteering, including supporting volunteers and NGOs.
-
Supporting intergenerational integration by organizing events and initiatives that connect people of different ages.
-
Organizing leisure activities for children, youth, and seniors — such as summer camps, day trips, and programs for older adults.
-
Activating older adults through workshops, classes, and initiatives supporting active aging.
-
Promoting ecology and environmental protection through campaigns, workshops, and cleanup events.
-
Protecting and enriching the natural environment, including projects related to conservation and biodiversity.
-
Supporting sustainable development by promoting renewable energy, the circular economy, and environmental education.
-
Protecting nature and counteracting environmental threats through cooperation with ecological organizations, tree planting, and promoting sustainable agriculture.
-
Providing environmental education for children, youth, and seniors through workshops, lessons, lectures, and other activities promoting environmental awareness and sustainable development.
§ 7 – Foundation Assets

The Foundation’s assets consist of the founding fund in the amount of PLN 1,000 (one thousand Polish zloty).

The components of the Foundation’s assets are designated for the achievement of the objectives selected by the Foundation.

The Foundation may allocate financial resources to repay financial obligations, including loans, provided they are incurred solely for the implementation of tasks arising from the Foundation's statutory objectives.

The founding fund constitutes the basis for the Foundation’s financial operations and is non-transferable. Its amount may be increased by the Founder(s) or by a decision of the Foundation’s Management Board, in accordance with applicable legal provisions.

The Management Board may invest the Foundation’s assets in bank accounts, securities, company shares, investment fund units, real estate, as well as by granting interest-bearing loans. When investing the Foundation’s assets, the primary consideration must be the protection of the investment’s capital over its profitability, in line with the principle of safety over profit.

The Foundation is liable for its obligations with all of its assets.
§ 8 – Donations, Inheritances, and Grants

Revenue from donations, inheritances, bequests, subsidies, and grants may be used to achieve any of the Foundation’s statutory objectives, unless otherwise specified by the donor.

In matters concerning the acceptance of donations and inheritances, the statements required by law shall be submitted by the Foundation’s Management Board.

If the Foundation is named as an heir, the Management Board shall submit a statement accepting the inheritance under the benefit of inventory only if, at the time of making the statement, it is clear that the active estate significantly exceeds any inherited debts.
§ 9 – Restrictions on the Use of Assets

The Foundation is not permitted to incur financial obligations such as loans, or to use its assets as collateral for debts owed to the Founder, members of the Management Board, employees, or individuals closely related to them. A close relationship includes marriage, cohabitation, direct lineage, second-degree collateral kinship, as well as legal ties such as adoption, guardianship, or custody.

The Foundation’s assets may not be transferred for the benefit of the Founder, members of the Management Board, employees, or their close relatives on terms other than those applicable to third parties.

The Foundation’s assets may not be used for the benefit of the Founder, members of the Management Board, employees, or their close relatives unless such benefit is directly related to the achievement of the Foundation’s statutory objectives.

The Foundation may not purchase goods or services from the Founder, members of the Management Board, employees, or their close relatives, or from companies in which these persons are involved, on terms less favorable than those offered to third parties or at prices exceeding fair market value.
§ 10 – Sources of Funding
Funds used to achieve the Foundation’s objectives and cover ongoing operational costs come in particular from:
a. Donations, inheritances, and bequests,
b. Subsidies and grants from legal and natural persons,
c. Proceeds from bank deposits, capital accounts, and investments,
d. Securities and interest on loans granted,
e. Income from real estate, movable property, and proprietary rights,
f. Income from business activities conducted by the Foundation,
g. Funds obtained from European Union structural organizations.
All external income generated by the Foundation is allocated exclusively to its statutory activities.
Chapter IV. Governing Bodies of the Foundation
§ 11 – Governing Bodies

The governing body of the Foundation is the Management Board, hereinafter referred to as the "Board."
§ 12 – The Management Board
-
The Management Board shall consist of 1 to 3 members, including the President of the Board, who directs its work. Members are appointed for an indefinite term.
-
The first composition of the Board is appointed by the Founder.
-
Subsequent compositions of the Board are also appointed by the Founder.
-
Membership in the Board shall terminate or expire in the event of:
a. Voluntary resignation submitted in writing to the Founder.
b. Dismissal by the Founder.
c. Loss of civil rights, public rights, or legal capacity.
d. Death of a Board member. -
Members of the Board may be employed by the Foundation.
-
The remuneration of the Board is determined by the Founder.
-
Employment contracts with Foundation staff are signed by the President of the Board.
-
Employee salaries are paid from the Foundation’s funds.
§ 13 – Responsibilities and Powers of the Board

The Board represents the Foundation and manages its statutory operations.
-
The Board is responsible, in particular, for:
a. Managing the Foundation’s day-to-day operations,
b. Implementing the Foundation’s statutory objectives,
c. Preparing work plans and budgets,
d. Supervising and managing the Foundation’s assets,
e. Representing the Foundation externally,
f. Hiring staff and preparing internal work and pay regulations,
g. Submitting applications, proposals, and funding requests for the Foundation’s projects,
h. Incurring obligations on behalf of the Foundation,
i. Accepting donations, subsidies, inheritances, and bequests on behalf of the Foundation,
j. Submitting proposals, including for amendments to the Statute,
k. Proposing a merger or liquidation of the Foundation. -
The Board is required to prepare and submit an annual report on the Foundation’s activities.
§ 14 – Board Meetings

Board meetings shall be held as often as necessary to ensure the effective functioning and management of the Foundation’s affairs.
-
Meetings are convened by the President of the Board, either on their own initiative or at the request of the Founder or another Board member. Notification of the meeting may be given electronically, by mail, phone, or verbally.

All Board members must be informed of the meeting.
-
Board meetings may be conducted via teleconference or by any means allowing all participants to communicate with one another.
-
The official location of remote or virtual meetings shall be considered the Foundation’s registered office.
-
Meeting minutes may be signed by hand or electronically.
-
Board decisions are made by a simple majority of votes, with at least half of the Board members present. In the event of a tie, the President’s vote is decisive.
§ 15 – Representation

Statements of will on behalf of the Foundation, including in financial matters, may be made individually by the President of the Board, jointly by two Board members, or individually by attorneys (proxies) appointed by the President, within the scope of their authorization.

Each Board member has the right and obligation to manage the Foundation’s day-to-day affairs. Matters beyond this scope fall within the exclusive competence of the President of the Board.
Chapter V. Final Provisions
§ 16 – Amendments to the Statute
Amendments to the Foundation’s Statute may be made by the Founder or the Management Board.
Such amendments may also include changes to the objectives defined in the founding act.
§ 17 – Merger with Another Foundation

The Foundation may merge with another foundation to better achieve its objectives. The decision to merge and the conditions of the merger shall be made by the Founder or the Management Board.

A valid decision to merge requires either a resolution by the Founder or the unanimous consent of all members of the Management Board.
-
A merger shall take place under conditions agreed upon by the parties involved. The merger may occur either through acquisition or by establishing a new foundation. In the case of an acquisition, the Foundation may act as either the acquiring or the acquired party.
The Management Board is the body authorized to determine the conditions of the merger and carry out all related activities, in accordance with the provisions of points 1 and 2 of this paragraph.
§ 18 – Dissolution of the Foundation

The Foundation may be dissolved upon achieving its objectives or if its financial and material resources are exhausted.
-
A decision to dissolve the Foundation may be made by the Founder or unanimously by the Management Board.
-
The liquidator of the Foundation may be the Management Board, a person appointed by the Founder, or another individual designated in accordance with applicable law.
-
The Management Board shall notify the competent minister of the Foundation’s dissolution.
-
Any remaining assets and rights after liquidation shall be transferred to another organization operating within the Republic of Poland that has similar objectives to those specified in § 5.
The specific purpose and method of transferring the assets shall be indicated by the Founder. -
In the event of the death or permanent incapacity of the Founder, the powers and responsibilities granted under this Statute shall pass to the individual or legal entity currently exercising actual control at the location of the Foundation’s registered office.

This Statute enters into force on the date of the Foundation’s entry into the National Court Register.
